1. Agreement to Terms

By accessing or using Cell-Guardian ("the System"), you agree to these Terms and Conditions. If you disagree, do not use the System.

2. License Grant

Rahm Sensor Development, Inc. ("Rahm") grants a limited, non-exclusive, non-transferable license to use Cell-Guardian according to your subscription terms.

3. Authorized Use

  • System must be used in compliance with all applicable laws

  • Access limited to authorized personnel

  • Credentials may not be shared

  • Usage restricted to intended monitoring purposes

4. System Limitations

  • Not a replacement for facility staff

  • Not intended for medical diagnosis

  • Alert features are supplementary safety tools

  • System availability subject to network conditions

5. Data and Privacy

  • You maintain ownership of facility data

  • Rahm may use anonymized data for improvements

  • Data handling governed by Privacy Policy

  • You are responsible for proper data access controls

6. SMS Terms and Conditions

6.1 SMS Consent Communication

Phone numbers collected as part of the SMS consent process will not be shared with third parties for marketing purposes.

6.2 Types of SMS Communications

If you have consented to receive SMS messages from Cell-Guardian, you may receive messages related to the following:

  • Customer Support: Follow-up messages and responses to support inquiries submitted via our contact form or phone.

  • Installation & Onboarding: Coordination messages related to device installation and account setup.

  • Account Notifications: System status updates and reminders relevant to your Cell-Guardian account.

Examples:

"[Cell-Guardian] Your monitoring system is now active. Our support team is available 24/7 at 855-235-5424 or support@cell-guardian.com. Reply HELP for assistance. Reply STOP to opt out."

"[Cell-Guardian] This is Cell-Guardian support. We saw an alert on your account and want to make sure everything is running smoothly. Can you confirm the issue is resolved? Reply HELP for options. Reply STOP to opt out."

"[Cell-Guardian] Your installation is scheduled. If you have questions beforehand, call us at 855-235-5424 or visit cell-guardian.com/contact. Reply STOP to opt out."

6.3 Message Frequency

Message frequency varies based on your support or account activity. You will only receive messages relevant to open requests or your account status.

6.4 Potential Fees

Standard message and data rates may apply depending on your carrier's pricing plan.

6.5 Opt-In Method

You may opt in to receive SMS messages from Cell-Guardian by submitting your mobile number via our online contact form at www.cell-guardian.com/contact or during account setup.

6.6 Opt-Out Method

You may opt out of SMS messages at any time by replying STOP to any message you receive. You may also contact us directly at info@cell-guardian.com to request removal.

7. Warranty and Disclaimers

  • Rahm not liable for monitoring failures

  • Force majeure events excluded from warranty

8. Maintenance and Support

  • Regular software updates provided

  • Technical support during business hours

  • Emergency support 24/7

  • Scheduled maintenance with notice

9. Subscription and Payment

  • Payment terms per agreement

  • Service suspension for non-payment

  • Renewal terms specified in contract

  • Price changes with 30-day notice

10. Termination

  • Either party may terminate with notice

  • Immediate termination for violations

  • Data retention per facility requirements

  • Post-termination obligations survive

11. Liability Limitations

  • Maximum liability limited to fees paid

  • No liability for consequential damages

  • Indemnification for misuse

  • Insurance requirements per contract

12. Intellectual Property

  • Rahm retains all IP rights

  • No reverse engineering permitted

  • Feedback becomes RSD property

  • Trademarks require written permission

13. Confidentiality

  • System specifications confidential

  • Facility information protected

  • Non-disclosure obligations

  • Security protocols mandatory

14. Modifications

  • Terms may be updated with notice

  • Continued use implies acceptance

  • Material changes require consent

  • Change notifications via email

15. Governing Law

  • Laws of Ohio apply

  • Exclusive jurisdiction in Ohio courts

  • Arbitration for disputes

  • Legal fees to prevailing party
